Responsibilities
- Lead legal aspects of mergers, acquisitions, divestitures, joint ventures, and strategic collaborations.
- Manage outside counsel related to corporate transactions.
- Engage in due diligence, draft and negotiate term sheets and definitive agreements.
- Advise cross-functional teams including Business Development, Finance, HR, and Regulatory on legal strategies.
- Draft, review, and negotiate commercial contracts.
- Support SEC and Nasdaq compliance including filings and insider trading compliance.
- Assist with corporate secretarial matters, governance, and subsidiary management.
- Advise on dispute resolution and governance best practices.
- Develop and improve internal processes, policies, and templates.
Education
- Bachelor's degree required.
- Juris Doctor (JD) degree required.
