Responsibilities
- Advise executive leadership, board of directors, and committees on SEC and stock exchange reporting, disclosure, corporate governance, and investor relations.
- Lead NYSE submissions and SEC filings including 10-Ks, 10-Qs, 8-Ks, and proxy statements.
- Oversee annual stockholder meeting and preparation of related materials.
- Manage Section 16 reporting Forms 3, 4, and 5 for compliance.
- Support board and committee meeting agenda preparation, materials, and minutes as corporate secretary.
- Provide legal advice on stock plans, compensation, insider trading policies, and Rule 10b5-1 plans.
- Manage equity matters and coordinate with the stock administrator.
- Collaborate with finance, marketing, equity, people, and operations teams.
- Liaise with outside counsel as needed.
Education
- Juris Doctor (J.D.) degree from an accredited law school.
- Licensed to practice law, preferably in California or New York.
